VidaBay Snap Service Agreement

Parties to the Agreement
This VidaBay Snap Service Agreement (hereinafter referred to as "this Agreement") is concluded between the following two parties: Party A is Shanghai Enqi Technology Information Co., Ltd. (hereinafter referred to as "Enqi Technology"), with its registered at Shanghai China. Party B is an individual, legal person, or other organization that uses the "VidaBay Snap" application (hereinafter referred to as "this App") and related services (hereinafter referred to as "User" or "you").
The electronic ink screen refrigerator magnet matched with this App adopts Near Field Communication (NFC) technology for data transmission. This transmission method features short-range and non-networked characteristics, and is only used to securely transmit the content confirmed by the User for push on the App (such as text and adapted images) to the refrigerator magnet. The entire process does not involve the acquisition of unauthorized content from users, nor will it lead to the leakage of personal content such as photos.
Effective Date: This Agreement shall take effect from the date when the User registers and consents to this Agreement.
Whereas Enqi Technology legally operates this App and provides supporting software services for electronic ink screen refrigerator magnets; and the User intends to use such services, the two parties hereby enter into this Agreement through equal negotiation in accordance with the Cybersecurity Law of the People's Republic of China, the California Consumer Privacy Act (CCPA), the Children's Online Privacy Protection Act (COPPA), the Personal Information Protection and Electronic Documents Act (PIPEDA), and other relevant laws and regulations of China, North America and the European Union, for mutual compliance.
1. Service Content
1.1 Core Services
This App provides supporting services for the "VidaBay Snap" electronic ink screen refrigerator magnet, including but not limited to device binding and connection, network configuration, screen content editing (text/image adaptation), content push, device status monitoring, and account management.
1.2 Service Adjustment
Enqi Technology may upgrade, optimize, or adjust the service content based on technological development, compliance requirements, and market demands. Relevant changes will be notified to the User 7 days in advance through App pop-ups, official notifications, and other means.
1.3 Value-Added Services
Some advanced functions (such as large-capacity cloud storage and exclusive content templates) may require payment. The specific charging standards and rules shall be subject to the publicity on the sales platform.
2. User Account Specifications
2.1 Registration Requirements
The User shall register an account using an email address, and provide true and accurate information; Users under the age of 9 shall register with the consent and assistance of their legal guardians.
2.2 Account Security
The User shall properly keep the account password and authorization information, and bear responsibility for all operations under the account; if the User discovers account leakage or theft, they shall immediately report to the customer service of the sales platform, and Enqi Technology will assist in taking measures such as freezing the account and resetting the password. However, Enqi Technology shall not be liable for losses caused by the User's improper custody.
2.3 Prohibited Uses
The User shall not use the account to disseminate illegal information (pornography, violence, hate speech, etc.), infringe on the rights and interests of others, crack or tamper with the App program, or engage in illegal activities such as spam push.
3. Data Collection and Privacy Protection
3.1 Scope of Collection
With the User's consent, only the account information (registered email address) will be collected.
3.2 Data Usage
The collected data shall only be used to provide services, optimize user experience, and push necessary notifications (such as device abnormality alerts); without the User's consent, the data shall not be sold or leased to third parties, except in cases required by laws and regulations or for protecting the User's rights and interests.
3.3 Protection
User may query, modify, export, or delete personal data through "Settings - Privacy" in the App. After the account is cancelled, the data will be anonymized or deleted in accordance with legal requirements.
3.4 Security Incidents
In the event of a data breach, Enqi Technology shall promptly notify the User in accordance with North American and the European Union's legal requirements, and take remedial measures and report to the regulatory authorities.
4. Intellectual Property Rights
4.1 Rights of Enqi Technology
The software copyright of this App, the trademark right of "VidaBay Snap", interface design, technical solutions, and other intellectual property rights shall belong to Enqi Technology. The User shall not arbitrarily copy, modify, or use them for commercial purposes.
4.2 Rights of the User
The User shall enjoy complete intellectual property rights over the content edited by them. The User shall ensure that the content does not infringe on the rights and interests of third parties, otherwise the User shall bear full responsibility and compensate Enqi Technology for any losses incurred.
5. Service Fees and Term
5.1 Fee Rules
Basic services are free of charge. The fees for value-added services shall be subject to the publicity on the sales platform. Once paid, the fees shall not be refunded unless the service cannot be provided due to reasons attributable to Enqi Technology; if the fee for value-added services is not paid within the time limit, Enqi Technology has the right to suspend the relevant services.
5.2 Service Term
This service shall take effect from the User's registration and remain valid until the User cancels the account or Enqi Technology terminates the service; Enqi Technology shall notify the User 30 days in advance when terminating the service, and provide the User with after-sales services such as data export.
6. Disclaimer and Limitation of Liability
6.1 Disclaimer
Enqi Technology shall not be liable for service abnormalities caused by force majeure (natural disasters, network outages, etc.), the User's own reasons (device failures, operational errors), third-party service failures, or malicious attacks.
6.2 Limitation of Liability
The maximum liability of Enqi Technology for direct losses shall not exceed the total amount of value-added service fees paid by the User in the past 12 months. Enqi Technology shall not be liable for indirect losses (such as loss of profits, loss of business opportunities, etc.).
7. Modification and Termination of the Agreement
7.1 Modification of the Agreement
When modifying this Agreement, Enqi Technology shall publicize the modification through the App, and the modified Agreement shall take effect 7 days after the publicity; if the User disagrees with the modification, they may stop using the service; continued use shall be deemed as acceptance of the modification.
7.2 Termination of the Agreement
The User may apply to cancel the account to terminate this Agreement; if the User violates this Agreement and fails to make corrections within the time limit, Enqi Technology has the right to terminate the service; after the termination of this Agreement, both parties shall perform obligations such as data processing and fee settlement.
8. Dispute Resolution and Governing Law
8.1 Governing Law
This Agreement shall be governed by the laws of the place where the North American or European Union User is located, as well as the relevant laws and regulations of China (for non-conflicting parts).
8.2 Dispute Resolution
Disputes between the two parties shall first be resolved through friendly negotiation; if negotiation fails, either party may file a lawsuit with the people's court with jurisdiction in the place where Enqi Technology is located (Shanghai).
9. Other Provisions
This Agreement constitutes the complete agreement between the two parties regarding the services hereunder and supersedes any previous oral or written agreements; if any clause of this Agreement is deemed invalid, it shall not affect the validity of other clauses; the User may contact the customer service of the sales platform for inquiries, and Enqi Technology will respond through such channel; matters not covered herein shall be governed by relevant laws and regulations and the Privacy Policy.
